In collaboration with the law firm Freshfields, we assisted African Aura Resources Limited in the acquisition of mineral exploration licences in Cameroon. We researched and conducted due diligence on the permits and licences in connection with the transaction, reviewed existing mining licences (Djoum, Akon and Ntem) and mining rights.
The tasks performed ranged from oral and written legal advice on regulatory compliance, review of a facility agreement in the transaction from a Cameroonian perspective,
drafting and negotiating share pledges, registering the pledges under Cameroonian law, and
under Cameroonian law, drafting of all corporate authorisations relating to pledges and registration, filing of mining rights in the registers and the issuance of relevant legal opinions under Cameroonian law.
